A full examination of the passthrough entity-subrecipient relationship. This session begins with an analysis of the distinctions between subawards and “contracts,” and proceeds through the life-cycle of a subaward, from risk assessment through closeout. It also addresses fixed amount subawards and FFATA requirements.

9:00 am – 10:45 am OPERATIONALIZING INTERNAL CONTROL STANDARDS AND REQUIREMENTS
In consideration of the Uniform Guidance’s heavy focus on internal controls, in this session we thoroughly address the GAO Green Book’s (Standards for Internal Control in the Federal Government) five components and 17 elements of internal control, discussing common internal control failures as well as strategies and best practices for incorporating adequate controls into organizational systems and activities.

This session provides an in-depth discussion of the principles and requirements underlying proper cost allocation, direct and indirect allocation examples, an examination of indirect cost pools and rates, as well as a discussion of the indirect cost rate agreement (“ICRA”) negotiation process. This session will further address time and effort practices and documentation, and how such processes work in furtherance of the cost allocation requirements.

In this session, we discuss the “federal interest” that is created in grantee property when it is acquired or improved with federal funds, including valuation of that interest and long-term consequences. We further discuss grant management requirements and limitations regarding the use, management, and disposition of federally funded equipment and real property.

In this session we discuss requirements related to cost sharing/matching obligations in certain federal programs. Based upon government-wide treatment under the Uniform Guidance, we focus in detail on valuation and documentation of various types of third party in-kind donations. We also cover common compliance issues related to cost sharing, and use case studies to demonstrate the principles.

Ted Waters
Serving as Managing Partner of the firm since 2003, and a member of the Health Law and Federal Grants practices since 1992, Ted focuses his practice on helping organizations to solve problems, often in crisis situations. A national authority in the area of federal grants, particularly in the health and community service spheres, he advises clients on all aspects of program requirements, including issues such as cost-based reimbursement, governance and the never-ending list of grant administration matters. Scott Sheffler
A Partner with the firm in the Federal Grants and Health Law practice groups, Scott advises clients on matters of federal grant law, government contract law, and health care law. Scott assists clients with the myriad requirements that apply upon acceptance of federal grant funding, including the administrative requirements and cost principles established in the Uniform Administrative Requirements, Cost Principles, and Audit Requirements for Federal Awards (Uniform Guidance), the Office of Management and Budget (OMB) Circulars that preceded the Uniform Guidance, and program-specific statutory and regulatory funding conditions. Jerry Bertrand
As a consultant, Mr. Bertrand has worked in the nonprofit and higher education environments, including OneStar Foundation, Methodist Healthcare Ministries, and Texas A&M International University. He frequently brings his real world experience to bear in teaching and coaching environments, conducting on-site training for a variety of organizations, including federal (NASA, Department of Labor, Department of Housing and Urban Development, Department of Health and Human Services, Corporation for National and Community Service) state (California, Idaho, Kentucky, and Texas state governments), local (San Diego County, and the Washington, DC governments) and nonprofit organizations (Habitat for Humanity International, Woods Hole Oceanographic Institution).
