Join Scott Sheffler, a partner in FTLF's Grants Practice Group, to examine the passthrough entity-subrecipient relationship, from initial risk assessment through closeout, including in depth material on passthrough entity obligations under the Uniform Guidance, the contractor/subrecipient distinction, and navigating the challenges that can arise with respect to both. This one-day course couples instruction with exercises to aid participants in applying the most critical concepts.

Examine the specific requirements applicable to Passthrough Entities under the Uniform Guidance (2 C.F.R. Part 200), and discuss strategies for ensuring your organization is meeting its oversight obligations, from initial risk assessments, to agreement drafting and negotiation, to monitoring throughout performance.

10:45 am - 12:00 pm - SUBAWARD DRAFTING EXERCISE

Participants will work in small groups in an attorney-led exercise in identifying the key risks, obligations, and goals of the parties to a subaward, and in evaluating terms that will be particularly important to protecting the grantee’s interests when making subawards.

12:00 pm - 1:30 pm - LUNCH

1:30 pm - 2:45 pm - SUBRECIPIENT / CONTRACTOR DISTINCTIONS UNDER THE UNIFORM GUIDANCE

Discuss the distinctions applied by the Uniform Guidance between “subrecipient” relationships and “contractor” (formerly “vendor”) relationships. Examine examples that fall within the all-too-common gray areas presented when contracting out substantive work under an award, and discuss practical considerations that should influence your choice between a subaward or contract.

3:00 pm - 4:00 pm - SUBRECIPIENT / CONTRACT / FIXED AMOUNT SUBAWARD SELECTION EXERCISE

Apply the principles learned in the morning session about oversight obligations, and considerations addressed in the Subrecipient/ Contract distinction section to hypothetical examples.  Working in groups, participants will evaluate options and devise strategies for maximizing efficiency and compliance.

Cancellation Policy for this Event:

All cancellation requests must be received in writing at learning@ftlf.com. Requests for refunds will be granted according to the following schedule:

  • Requests received 30 or more days prior to the event will receive a full refund.
  • Requests received between 11 to 29 days prior to the event will receive a 50% refund.
  • Requests received within 10 days of the event start date are not eligible for a refund.
